These Terms of Service ("Terms") govern your use of fluencesocial.com and any related pages, forms, booking calendars, emails, and text messages (together, the "Site") operated by Fluence Social ("Fluence Social," "we," "us," or "our"), based in San Antonio, Texas. By using the Site, submitting a form, or opting in to our messages, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.
You may use the Site to learn about our services, apply for creator representation, submit brand inquiries, and book calls. When using the Site, you agree not to:
We may suspend or block access to the Site, or decline any submission, at our discretion.
You must be at least 18 years old to use the Site and submit forms, or, for creator applicants under 18, have the consent and involvement of a parent or legal guardian, who agrees to these Terms on the minor's behalf. The Site is not directed to children under 13. If you submit a brand inquiry, you represent that you are authorized to act for the company you name.
Applying does not guarantee representation or deals. Submitting a creator application does not guarantee that we will review your channel within any timeframe, offer you representation, or secure any sponsorship, brand deal, rate, or income for you. Results depend on many factors outside our control, including brand budgets, market demand, and your channel's performance.
No agency relationship from applying. Submitting an application, booking a call, or exchanging messages with us does not create an agency, management, representation, employment, partnership, or fiduciary relationship. A representation relationship exists only when you and Fluence Social both sign a written representation agreement. That agreement, not these Terms, will govern the scope of our services, commission, payment terms, and term of representation.
You represent that the information in your application, including channel statistics, audience data, sponsors, and rates, is accurate to the best of your knowledge. We may verify information using public sources and may decline any application for any reason.
Our creator management service is commission-only: we do not charge creators application fees or upfront fees. Commission terms are set out only in a signed representation agreement.
Inquiries are non-binding. A brand inquiry, proposal, quote, creator recommendation, or discussion is not a binding offer or contract for either party. Neither you nor Fluence Social is obligated to proceed with any campaign until both parties sign a written statement of work ("SOW") or other written agreement. That signed SOW will control deliverables, pricing, timelines, usage rights, and payment terms.
We do not guarantee the availability of any particular creator, campaign performance, views, clicks, conversions, or sales. Any creator information we share with you is confidential and may be used only to evaluate a potential campaign with us.
You keep ownership of the information and materials you submit (for example, channel details, media kits, or campaign briefs). You grant Fluence Social a limited, non-exclusive license to use, store, and share your submissions as needed to evaluate your application or inquiry and to provide our services, as described in our Privacy Policy. Please do not submit confidential information you are not comfortable sharing at the inquiry stage; any confidentiality obligations beyond our Privacy Policy will be set out in a signed agreement.
The Site and its content, including text, graphics, logos, the "Fluence Social" name and brand, page designs, and other materials (excluding content you submit and third-party marks), are owned by or licensed to Fluence Social and are protected by copyright, trademark, and other laws. You may view and print Site pages for your personal or internal business use only. You may not copy, modify, distribute, sell, or create derivative works from Site content without our written permission.
Third-party names, logos, and trademarks (for example, YouTube or brand names) belong to their respective owners. Their appearance on the Site does not imply endorsement or affiliation unless stated.
These terms apply to text messages from our SMS program, Fluence Social.
You represent that you are the account holder or authorized user of the mobile number you provide. If you change or give up that number, please text STOP from it first or email us.
If you opt in to email, we may send updates and marketing emails. You can unsubscribe at any time using the link in any marketing email or by emailing [email protected]. We may still send transactional messages related to your application, inquiry, bookings, or an active agreement.
The Site and our services rely on third-party providers, such as GoHighLevel / LeadConnector, Google Workspace and Google Meet, Stripe, and PayPal, and may link to third-party sites such as YouTube. Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services, sites, or content.
The Site and all content and information on it are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted, error-free, or secure.
Content on the Site, including examples, rate ranges, case studies, or results, is for general information only and is not a promise or prediction of your results. Nothing on the Site is legal, tax, financial, or investment advice.
To the fullest extent permitted by law, Fluence Social and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, revenue, sponsorships, opportunities, data, or goodwill, arising out of or related to the Site or these Terms, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Site or these Terms will not exceed one hundred U.S. dollars (US $100). This section does not limit liability that cannot be limited under applicable law, and it does not override the liability terms of any signed representation agreement or SOW, which will govern services provided under that agreement.
You agree to defend, indemnify, and hold harmless Fluence Social and its owners, employees, and contractors from any claims, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or false or infringing information you submit.
These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Bexar County, Texas, and you consent to the personal jurisdiction of those courts. Before filing a claim, you agree to contact us at [email protected] and try in good faith to resolve the dispute informally for at least 30 days.
We may update these Terms from time to time. When we do, we will update the "Effective date" above. Changes take effect when posted, and your continued use of the Site after that means you accept the updated Terms. Material changes to the SMS program terms will be communicated as required by carrier rules and applicable law.
These Terms, together with our Privacy Policy, are the entire agreement between you and Fluence Social about your use of the Site. If you sign a representation agreement or SOW with us, that agreement controls if it conflicts with these Terms. If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
